Legacy Environmental Laboratory – Terms and Conditions

Effective Date: August 1, 2025

These Terms and Conditions (“Terms”) govern all services provided by Legacy Environmental Laboratory (“Legacy” or “the Laboratory”) to its clients (“Client”). By submitting samples, receiving results, or engaging in business with Legacy, Client agrees to the following:

1. Scope of Services

Legacy provides environmental microbiology testing, including but not limited to bacterial and fungal counts, Legionella analysis, waterborne pathogen detection, and related laboratory services. Services are performed in accordance with Legacy’s accredited methods, internal quality systems, and applicable regulatory standards.

 

2. Payment Terms

a. Invoices are due upon receipt unless prior written Net 30 terms have been approved by Legacy.

b. Credit Card Payments may be subject to a processing fee of 3%.

c. Failure to Pay:

      – Late fees of $25 will apply to invoices unpaid after 14 days past due.

      – Legacy reserves the right to suspend or withhold release of results, certifications, or reports until payment is received.

      – Legacy may pursue collections, and Client is responsible for all associated costs, including attorney’s fees.

3. Sample Submission & Custody

a. Client is responsible for ensuring samples are collected, labeled, packaged, and shipped according to Legacy’s instructions.

b. Legacy is not responsible for compromised or noncompliant samples, including those received past holding times, without proper preservatives, or damaged in transit.

c. Chain-of-custody documentation must accompany samples; otherwise, analysis may be delayed or rejected.

 
4. Data Integrity & Reporting

a. Legacy maintains strict quality assurance and quality control procedures to ensure the accuracy of reported data.

b. Results are reported as generated by laboratory analysis. Legacy does not guarantee that results will meet any particular regulatory standard or outcome unless explicitly contracted.

c. Legacy is not liable for Client’s interpretation, use, or reliance on reported results beyond the scope of analysis.

d. Reports are delivered in electronic format through Legacy’s secure Laboratory Information Management System (LIMS) or other agreed means.

 
5. Confidentiality

Legacy treats all Client data, results, and business information as confidential and will not disclose such information to third parties except:

  • as required by law, accreditation, or regulatory bodies; or
  • with Client’s written consent.
 
6. Limitation of Liability

a. Legacy’s liability is limited to the cost of analysis performed on the specific samples in question.

b. Legacy shall not be liable for indirect, consequential, or incidental damages, including lost profits, delays, or regulatory penalties arising from test results.

 
7. Retention of Records & Samples

a. Analytical records and reports are retained for a minimum of [X years] in accordance with accreditation requirements.

b. Physical samples are retained for [30 days] after analysis unless otherwise agreed in writing, after which they are discarded.

 
8. Indemnification

Client agrees to indemnify and hold harmless Legacy, its employees, and agents from any claims, damages, or losses arising from Client’s use or misinterpretation of laboratory results.

 
9. Governing Law

These Terms are governed by the laws of the Commonwealth of Virginia, without regard to conflicts of law principles.

 
10. Amendments

Legacy reserves the right to update these Terms. Clients will be notified of material changes via email or posting on Legacy’s website. Continued use of services constitutes acceptance.
